I was a lawyer at Bell, Boyd & Lloyd LLC in Chicago for 44-1/2 years, retiring from that firm at the end of 2008 (it was acquired in 2009 by K&L Gates LLC).
My areas of specialty include m&a, corporate, securities, governance and related regulatory and judicial proceedings, including arbitration and mediation.
The services I offer include acting as an arbitrator or mediator, providing expert advice and acting as an expert witness on m&a, corporate, securities, governance and attorney malpractice matters.
I was the chair of my firm's corporate and securities group for 13 years, when it expanded from about 15 to 60 lawyers. My m&a activity included acting as the principal outside lawyer for Alberto-Culver, Baxter, Boise Cascade, Deere, W.W. Grainger, Hecla Mining, IMC Global, Motorola, Waste Management and Storage Technology in several acquistions, divestitures and joint ventures, with an aggregate value of several billion dollars.
My experience with regulatory and judicial proceedings includes supervising sensitive payments investigations for six NYSE-listed clients, special board committee internal investigations and litigation regarding m&a, corporate and securities issues. I have served as an expert witness in those fields, including, in 2012-13, rendering an expert opinion on a "going-public" issue.
I am teaching a course in m&a to undergraduates in Northwestern University’s Harvey Kapnick Business Institutions Program (a part of NU's Economics Department).
